Todd D. Kneale
President and Chief Operating Officer - Integrated Medical Systems, Inc.

Todd Kneale is the President and Chief Operating Officer for Integrated Medical Systems, Inc. Mr. Kneale is responsible for managing the definition and evolution of products within IMS. In this role, Mr. Kneale defines the cost, schedule, and technical goals for the multi-disciplinary Integrated Product Teams (IPT's) leveraged in the development of each product line while providing technical leadership and direction. Mr. Kneale is also the Program Manager for the LSTAT system - the cornerstone product for IMS. In this role, Mr. Kneale works closely with the U.S. Army in the deployment and evaluation of the LSTAT product family and manages the process of requirements prioritization for future product enhancements. Mr. Kneale is also the Director of Customer Support responsible for managing LSTAT system user training and product support requests. In this capacity, Mr. Kneale is also responsible for the development and prosecution of the customer support processes consistent with medical regulatory requirements. In his role as LSTAT Program Manager, Mr. Kneale has worked closely with the Army to develop R&D and product acquisition plans that have led to capture of core IMS revenues each year since company launch in 1999. In the past three years, Mr. Kneale has been focused on definition and development of the product architecture for the next generation family of products to be fielded by IMS. This product family will include the next generation LSTAT for military field medicine applications as well as derivative products for both the military and commercial markets. Throughout this period of focused product development, Mr. Kneale has continued to direct the training and fielding of multiple LSTAT systems for both domestic and international militaries. This process has led to the capture of valuable user input that directly feeds IMS strategic product development. Finally, Mr. Kneale works closely with the President and COO as well as the rest of executive management in defining and executing both strategic and operational plans within IMS. Mr. Kneale was the Program Manager and Principal Investigator for the Northrop Grumman LSTAT program since its inception in 1993. During this period, Mr. Kneale guided the LSTAT product development team through multiple generations of refinement, providing substantially improved product capabilities, system performance, ease-of-use, and clinical value with each generation leading to the FDA cleared system in use today. Mr. Kneale is a co-inventor on the LSTAT system and several other related patents. Mr. Kneale has over 20 years of development experience, the last thirteen targeting medical products and systems. His career has focused in the areas of program management, advanced materials and manufacturing methods, structural design with composite materials, design methods for reduction of Electro-Magnetic Interference, and systems engineering initiatives. Mr. Kneale also has experience with customer development and business planning. Mr. Kneale holds a Bachelor of Science Degree in Aerospace Engineering from the University of Michigan. He has also successfully completed multiple short courses in a variety of areas including Technical Management, Proposal Development, Effective Product Development Processes, as well as Anatomy & Laproscopic Surgery.
Matthew E. Hanson, Ph.D.
Vice President, Business Development - Integrated Medical Systems, Inc.

Dr. Hanson is Vice President of Business Development for Integrated Medical Systems, Inc. In this role, he is responsible for marketing and sales, legislative affairs, investor development and public relations. He has led the Company's efforts to expand international sales, adding distributors in Scandinavia, Asia, Europe and the Middle East. He develops the annual federal, state and local legislative strategy which has led to strong support and growing funds. Dr. Hanson is also responsible for developing and coordinating LSTAT clinical evaluations by potential government, military and civilian customers. He has expanded the Company's presence in international and domestic conferences and tradeshows, targeting both military and civilian medical professionals. Dr. Hanson has ensured corporate and product visibility in medical and popular media, through articles, advertisements, and awards.

Dr. Hanson's background, both while in the Air Force and in industry, has spanned engineering, management and business development. Immediately prior to joining Northrop Grumman's intrapreneurial Biomedical Group in 1994, Dr. Hanson was Manager, Advanced Technology in the Washington D.C. Offices of the Northrop Grumman Corporation, from which he was recruited to manage the design and demonstration of the Operating Environment of the Future (OEF). OEF was a project funded by the Defense Department to show that advanced sensors and communications technology could be applied to the Operating Room suite. He also managed the Group's collaboration with the University of Southern California Medical Center on establishing a now-operational telemedicine link between USC and the island of Catalina just off the California coast.

Prior to joining the Northrop Grumman Corporation as a Project Engineer on the B-2 Stealth Bomber program in 1987, Air Force Captain Hanson was Executive Officer for the $2B international Global Positioning System (GPS) Joint Program Office. Dr. Hanson retired from the Air Force Reserves at the rank of Lieutenant Colonel.

His academic background includes a doctorate in aerospace engineering from the University of Southern California as a Northrop Grumman Fellow; as well as an MBA - with an emphasis in marketing - from Chapman University. Dr. Hanson was admitted to USC as a Trustee Scholar, the highest recognition bestowed upon entering Freshman. Upon graduation with his Bachelors in Aerospace Engineering, Mr. Hanson was recognized as one of the Top 20 Engineering Students in the Nation by the Society of American Military Engineers. Dr. Hanson continues to augment his education with professional courses, including courses in management from UCLA and negotiations from CalTech.

Dr. Hanson has a number of published papers, and has been interviewed by NBC, ABC, National Public Radio, The Economist, Investors Business Daily and other media on the subject of aerospace and medical technologies and products. He was recently awarded Second Place in the international Innovation Grants 2000 competition sponsored by Merrill Lynch.
Frank Goodman
Vice President, Engineering - Integrated Medical Systems, Inc.

Frank Goodman is Vice President of Engineering for Integrated Medical Systems, Inc. He joined the management team in February, 2006. Mr. Goodman focuses on the day-to-day management of the G6 development activities. Prior to joining the company, Mr. Goodman held senior management positions at Intel Corporation and Trillium Digital Systems, Inc. At Trillium, a provider of high reliability software for the telecommunications industry, Mr. Goodman led the engineering and professional services organizations from 1995 until 2000, when Trillium was purchased by Intel for $300M. Mr. Goodman joined Trillium as the eighth employee and progressed to his final role as Vice President, Professional Services, charged with starting up company's first new Business Unit and leading an organization of over 50 engineers at the time of the Intel purchase. In these roles, he managed all hiring of engineers, infrastructure creation and development efforts, sales training, proposal development and standardization of engineering practices. While leading the engineering organization, Mr. Goodman reduced product development time by 50% while adding over 60 new portable software products, growing Trillium's product line to over 200 distinct products. At Intel, Mr. Goodman was on staff in the Office of the CTO for Intel Communication Group, and developed integrated software and hardware strategy across approximately 20 separate business units for the Communications Groups. Mr. Goodman brings to IMS extensive experience in the area of high reliability software and hardware architecture development, standards-based development (ISO9001), and supplier management. Mr. Goodman has a Bachelor of Arts degree from University of California, Berkeley, and had completed three years of required coursework for a Ph.D. in Design Theory & Methods at University of California, Berkeley, prior to leaving to join Trillium.
Terrance P. Domae
Director, Product Engineering - Integrated Medical Systems, Inc.

Terry Domae is the Director of Product Engineering for Integrated Medical Systems, Inc. Prior to the formation of IMS, Mr. Domae was responsible for the LSTAT information systems architecture and software development activities for Northrop Grumman. Mr. Domae is the chief architect of the IMS Core Information Architecture, which is extensible to a wide portfolio of medical products, including the on-board software for the LSTAT product line as well as off-board systems for remote monitoring, display, and data analysis of patient information.

In the recent past, Mr. Domae has been the software systems lead for the Northrop Grumman/McDonnell Douglas/British Aerospace Joint Strike Fighter (JSF). Mr. Domae has been a principal technical contributor and technical consultant for systems involving avionics system organization and design, digital and RF electronics design, digital receivers, and software systems. He has been the embedded software chairman for the Society of Automotive Engineers Avionics Systems Division (SAE ASD), and a member of many real-time committees within the IEEE. His research interests are in the area of real-time systems integration including: end-to-end scheduling of complex real-time systems, real-time network topologies, and computer systems architecture to support complex real-time applications. He has patents, publications, and presented technical ideas in both national and international levels. He has acted as a technical consultant to many organizations including Sun Microsystems, Hewlett Packard, Hyatt Hotels, Computer Sciences Corporation - Infonet Division, MCI networking division, Garrett Aerospace, and Apple Computer.

Mr. Domae has a master's of science degree in computer science from the University of California at Los Angeles, and a bachelor's of science degree in information and computer science from the University of California at Irvine. He is a member of the IEEE and ACM.
David D. Cryer
Chief Financial Officer - Integrated Medical Systems, Inc.

David D. Cryer serves as Chief Financial Officer of Integrated Medical Systems, Inc. Mr. Cryer has more than 20 years experience as a financial manager for a wide variety of contractors and manufacturing concerns. Prior to joining IMS, Mr. Cryer was an independent financial consultant to numerous small businesses. From 1991 to 1993, he served as Controller, Yardney Technical Products, an aerospace-defense contractor. From 1987 to 1991, Mr. Cryer was Chief Financial Officer of Ship Analytics, Inc., a manufacturer of maritime training systems. He was the Manager of Financial Planning at the Hartford Courant, and earlier, Vice President of Finance and Procurement for Trans Technology Corporation, an aerospace-defense contractor.

Mr. Cryer graduated from the University of Masschusetts with a Bachelor of Science in Accounting. In addition, Mr. Cryer has completed graduate studies in accounting at the University of Kentucky and received a Masters Degree in Management Science from Ball State University.
